1. Introduction
These Terms and Conditions (“Terms”) constitute a legal agreement between you (“User”, “you”, or “your”) and CityCAD Technologies Limited, a company registered in England and Wales under company number 5649954, with its registered office at 85 Great Portland Street, First Floor, London W1W 7LT (“we”, “us”, “our”, or “the Company”).
By creating an account, accessing, or using Streetscape Studio (“the Service”), you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
2. Description of the Service
Streetscape Studio is a web-based application that allows users to design and visualise street cross-sections, create projects, and export designs. The Service is provided on an “as is” and “as available” basis.
3. Privacy
Your use of the Service is also governed by our Privacy Policy, available at https://www.citycad.co.uk/privacy-policy. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
4. Account Registration
4.1.
You must provide accurate, complete, and current information when creating an account.
4.2.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4.3.
You must notify us immediately of any unauthorised use of your account.
4.4.
We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.
5. Acceptable Use
5.1.
You agree to use the Service only for lawful purposes and in accordance with these Terms.
5.2.
You must not:
(a) use the Service in any way that violates any applicable local, national, or international law or regulation;
(b) attempt to gain unauthorised access to the Service, other users’ accounts, or any systems or networks connected to the Service;
(c) introduce any viruses, malware, or other harmful material;
(d) use the Service to transmit any unsolicited or unauthorised advertising or promotional material;
(e) use automated systems or software to extract data from the Service without our prior written consent; or
(f) interfere with or disrupt the integrity or performance of the Service.
6. Intellectual Property
6.1. Our Intellectual Property
The Service, including its software, user interface, graphics, templates, default configurations, and documentation, is owned by CityCAD Technologies Limited and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service itself beyond the limited right to use it in accordance with these Terms.
6.2. Your Designs
6.2.1.
You retain ownership of the original creative elements of any street cross-section designs, projects, and other content that you create using the Service (“User Content”), subject to the provisions below regarding templates and shared content.
6.2.2.
By using the Service, you grant us a non-exclusive, royalty-free, worldwide licence to store, process, display, and transmit your User Content solely for the purpose of providing and improving the Service. This licence terminates when you delete your User Content or your account, except where (a) your content has been shared with other users or included in a collaborative workspace, (b) retention is required by law, or (c) clause 6.2.3 applies.
6.2.3.
Collaborative Workspaces. Where you have shared User Content within a project or collaborative workspace with other users, the licence granted to us under clause 6.2.2 and the licence granted to other team members under clause 6.4.1 shall survive the deletion of your individual account. This survival is necessary to ensure continuity for other users who have legitimately accessed your shared content, and the relevant content shall remain available to them until it is removed by an authorised administrator of the relevant project or workspace.
6.3. Templates and Pre-set Configurations
6.3.1.
The Service may provide templates, default configurations, element libraries, and other pre-set content (“Templates”) created by CityCAD Technologies Limited or by third parties. Templates are provided for use within the Service and remain the intellectual property of their respective creators.
6.3.2.
You may use Templates within the Service to create your own designs. Designs you create based on Templates are your User Content under clause 6.2, but this does not grant you any ownership of the underlying Templates themselves.
6.3.3.
You may not extract, reproduce, distribute, or create derivative works of Templates outside the Service without the express written permission of the relevant rights holder.
6.3.4.
Library Elements. The Service includes libraries of design elements such as street furniture, vegetation, signage, vehicles, and other objects (“Library Elements”). The licence granted to you under these Terms permits you to use Library Elements only as components of integrated, flattened designs created and exported from the Service. You are expressly prohibited from exporting, extracting, or otherwise obtaining individual Library Elements in any format (including but not limited to SVG, DXF, PNG, or any CAD format) for use outside the Service, in other software, or as part of any third-party asset library. Any export of a design from the Service is licensed for use as a complete, integrated output only.
6.4. Shared and Exported Content
6.4.1.
If you share designs with other users through the Service, you grant those users a non-exclusive licence to view, and where the sharing functionality permits, to use and adapt those designs within the Service.
6.4.2.
You are solely responsible for ensuring that any content you export from the Service and use externally does not infringe the intellectual property rights of any third party. Exported content is licensed for use as a complete integrated design output only, and this licence does not extend to any individual Library Elements or Templates embedded within that export.
7. Subscription and Payment
7.1.
Certain features of the Service may require a paid subscription. Subscription terms, pricing, and payment conditions will be presented to you at the point of purchase.
7.2.
We reserve the right to change subscription pricing. We will provide you with at least 30 days’ written notice of any pricing change via the email address associated with your account. Price changes will take effect at the start of your next billing period following the notice period and will not affect the current billing period of your existing subscription.
7.3.
No Refunds for Partial Periods. Subscriptions are charged in full at the start of each billing period. If you cancel your subscription, you will retain access to paid features until the end of the current billing period, but you will not be entitled to a pro-rated or partial refund for any unused portion of that period, except where required by applicable consumer protection laws.
7.4.
Refunds for other matters are handled in accordance with applicable consumer protection laws.
8. No Professional Advice
The Service is a design visualisation tool only. It does not provide professional engineering, architectural, planning, highway design, or any other professional advice.
Use of the Service does not, under any circumstances, guarantee or imply compliance with any laws, regulations, standards, codes of practice, or design guidelines in any jurisdiction worldwide. This includes, without limitation, highway design standards, accessibility requirements, building regulations, planning policies, traffic regulations, or any other regulatory framework.
The Service is not a substitute for professional judgement. Any designs created using the Service must be independently reviewed and validated by appropriately qualified professionals before being relied upon for any purpose, including but not limited to planning applications, construction, public consultation, or regulatory submissions.
8.4.
You acknowledge that street design involves complex considerations including safety, accessibility, drainage, utilities, structural engineering, and regulatory compliance that are beyond the scope of this tool.
8.5.
We make no representations or warranties that any output of the Service is fit for any particular purpose, compliant with any standard, or suitable for implementation.
8.6.
No Safety Validation. The Service does not perform safety audits, conflict analysis, clearance checks, or any form of safety or suitability assessment. The rendering or display of any dimension, measurement, configuration, or design element within the Service does not constitute validation, endorsement, or confirmation that such element is safe, appropriate, compliant, or fit for any purpose. Users must not interpret the visual representation of any design as an indication that it meets any safety standard or design guideline.
8.7.
Dimensional Accuracy. While the Service accepts user-defined measurement inputs and displays corresponding visual representations, we do not guarantee the mathematical accuracy of exported dimensions for construction or any other practical purpose. Measurements and dimensions shown in the Service and in any exported outputs are approximate and for illustrative purposes only. They must not be used as the basis for construction, engineering, or any other application without independent verification by a qualified professional.
9. Limitation of Liability
To the fullest extent permitted by law, CityCAD Technologies Limited, its directors, employees, agents, and affiliates shall not be liable for any:
(a) indirect, incidental, special, consequential, or punitive damages;
(b) loss of profits, revenue, data, business opportunities, or goodwill;
(c) cost of procurement of substitute goods or services;
(d) damages arising from or related to any designs created using the Service;
(e) damages arising from reliance on any output of the Service;
(f) damages arising from any errors, inaccuracies, or omissions in the Service or its outputs;
(g) damages resulting from unauthorised access to or alteration of your data;
(h) damages arising from any third party’s use of designs you have shared or exported; or
(i) any other damages arising out of or in connection with your use of, or inability to use, the Service,
whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.
9.2.
In any event, our total aggregate liability to you for all claims arising out of or in connection with the Service shall not exceed the greater of (a) the total amount paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) fifty pounds sterling (GBP 50.00).
9.3.
Nothing in these Terms excludes or limits our liability for (a) death or personal injury caused by our negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be excluded or limited by English law.
10. Indemnification
You agree to indemnify, defend, and hold harmless CityCAD Technologies Limited, its directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
(a) your use of the Service;
(b) your violation of these Terms;
(c) your violation of any applicable law or regulation;
(d) any designs, content, or data you create, share, or export using the Service;
(e) any reliance by you or any third party on any output of the Service;
(f) any claim that your User Content infringes the intellectual property rights of any third party; or
(g) any claim brought by any third party (including but not limited to planning authorities, local councils, contractors, members of the public, or any other person) who has accessed, received, or relied upon any design, output, or document that you have shared, published, distributed, or made available, whether directly or indirectly, where such design or output was created using the Service.
This indemnification obligation applies regardless of whether any such third party obtained the design directly from you or through subsequent onward transmission.
11. Disclaimer of Warranties
11.1.
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory.
11.2.
We expressly disclaim all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
11.3.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any defects will be corrected.
11.4.
We do not warrant the accuracy, reliability, or completeness of any content, data, or outputs provided through the Service, including but not limited to measurements, dimensions, default values, and visual representations.
12. Data and Service Availability
12.1.
While we take reasonable steps to protect your data, we do not guarantee the preservation of User Content. You are responsible for maintaining your own backups of any important designs or data.
12.2.
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
12.3.
Scheduled Maintenance. We reserve the right to take the Service offline for scheduled maintenance, updates, or infrastructure work. Where reasonably practicable, we will endeavour to provide advance notice of planned downtime via the Service or by email, but we are not obliged to do so and shall not be liable for any loss or inconvenience arising from scheduled or unscheduled maintenance.
12.4.
No Uptime Guarantee. We make no warranty or representation regarding the availability, uptime, or response time of the Service. No service level agreement (SLA) applies to your use of the Service unless expressly agreed in a separate written agreement (such as a Team contract).
13. Termination
13.1.
You may terminate your account at any time through the account settings in the Service.
13.2.
We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms.
13.3.
Upon termination, your right to use the Service ceases immediately. We may delete your account data after a reasonable retention period following termination.
14. Changes to These Terms
14.1.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the “Last updated” date.
14.2.
Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
15. Governing Law and Jurisdiction
15.1.
These Terms are governed by and construed in accordance with the laws of England and Wales.
15.2.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15.3.
If you are a consumer, you may also be entitled to bring proceedings in the courts of your country of residence, and nothing in these Terms affects your statutory rights as a consumer.
16. Beta and Preview Features
16.1.
The Service or parts of it may from time to time be made available as a beta, preview, or early access release. Such features are provided without warranty and may be subject to additional limitations, bugs, or changes.
16.2.
Beta features may be modified, withdrawn, or replaced at any time without notice. We shall not be liable for any loss or damage arising from your use of, or reliance on, any beta or preview feature.
16.3.
Your use of beta features may be subject to additional terms communicated to you at the time of access.
17. General Provisions
17.1.
Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and CityCAD Technologies Limited regarding the Service.
17.2.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
17.3.
Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
17.4.
Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
17.5.
Force Majeure. We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control.
